Houzeo Corp.® (“Houzeo”) requires all visitors to this site to agree to these terms and conditions.


By accessing our site, you acknowledge and accept these terms and conditions. If you disagree, you may opt not to use our site.

This legal Agreement constitutes an electronic record under the laws and relevant regulations governing electronic records in various statutes across the State of New York. A computer system produces this electronic record, which does not require physical or digital signatures.

By using Houzeo's website (including all properties accessible through mobile, web, or others, owned and operated by Houzeo), you agree to abide by the following terms of use, as updated periodically ("Terms of Use").

In these Terms of Use, where the context requires, “we,” “our,” and “us” refer to Houzeo. Whereas, “you,” “your,” “yourself,” and “user” refer to natural and legal persons who use our Services and are legally capable of entering into binding contracts.

1. DEFINITIONS

"Agreement" means, collectively and as applicable to you, these Terms, the applicable Services Addendum, and all other applicable terms, conditions, and policies, including Privacy Notice, and Refund Policy, that we make available to you in connection with your use of the Services.

"Claim" means any dispute or controversy between you and Houzeo.

"Class Action Waiver" has the meaning outlined in Section 11.4 And Section 13 of these Terms.

"Cookies" are small pieces of data stored on your device by your web browser.

"Feedback" means feedback, comments, and suggestions for improvements in connection with the Sites and Services.

"Houzeo" refers to the Services provided by Houzeo.

"Neutral" means an independent, impartial arbitrator appointed in accordance with the rules of New Era ADR.

"New Era ADR" means New Era ADR, Inc., the provider of the arbitration services.

"New Era ADR Rules" means the New Era ADR Rules and Procedures (including the Virtual Technology Rules and the Bellwether Protocols) in effect at the time a Claim is filed.

"Services" means, collectively or as applicable to you, the Sites and Services provided by Houzeo according to this Agreement and any applicable Services Addendum.

"Sites" refer to the website and mobile applications maintained by or on behalf of Houzeo through which Houzeo may offer Services.

"Terms" means the present Terms of Use.

"Third Party" means third-party websites or service providers.

"Your Content" means your feedback and any data, content, information, ideas, comments, property information, listing information, photos, or other materials that you provide to us or upload on the website, excluding any personally identifiable information, the collection, processing, or any other use of which is governed by the Houzeo’s Privacy Policy.

2. GENERAL TERMS

The section headings in these Terms of Use are solely for organizing the provisions and helping you understand how they apply to you. It's agreed that these headings carry legal value regarding your use of our Services. By using our Services, you agree to these Terms of Use and our Privacy Policy, which may be updated from time to time at our discretion. Continued use of our Services means you accept these updates. These Terms of Use and our Privacy Policy are interconnected, meaning the termination of one will result in the termination of the other.

These Terms of Use and the Privacy Policy form a legally binding agreement between you and Houzeo. By using our Services, you agree to follow all rules, guidelines, and policies. No signature is needed; usage of the website means you accept these terms. We may change these Terms of Use at any time without notice. If you disagree with the changes, you may opt not to use our Services. Continued use means you accept the new terms.

2.1. SERVICES OVERVIEW

Houzeo is a Flat Fee MLS platform and real estate marketplace designed to empower For Sale By Owner (FSBO) sellers. We offer a suite of tools and resources to help homeowners list and sell their properties directly, saving thousands in traditional agent commissions.

By providing access to the Multiple Listing Service (MLS) and a user-friendly platform, Houzeo simplifies the home selling process and allows sellers to connect with potential buyers efficiently.

2.2. REGISTRATION & ELIGIBILITY

To register, provide:

  • First Name
  • Last Name
  • Email ID
  • New Password

When registering, ensure your information is accurate, current, and complete. You agree to not sell, transfer or assign your account while keeping your account details private and report any unauthorized use.

You must be of legal age and competence to enter into agreements. Minors under 18 years of age can use our Services with guardian consent. You agree to follow these Terms of Use and all laws, rules, and regulations applicable to your use of our Services. You may use our Services only if you are legally eligible to do so.

2.3. COMMUNICATIONS CONSENT

By providing your contact information and clicking 'Continue' or 'Register' or any other similar button, you provide your express written consent to receive marketing and transactional communications (including SMS, and phone calls) from Houzeo Corp. and its partners. You acknowledge that these messages may be sent using an automated telephone dialing system (ATDS) or artificial/prerecorded voice. Consent is not a condition of purchase or any service. You may opt out at any time by texting 'STOP' or clicking 'Unsubscribe.' Standard message and data rates may apply.

These communications may include:

  • Service updates and account-related notifications
  • Information about your listings, transactions, or activity
  • Marketing messages, promotional offers, and newsletters

By providing your contact information, you:

  • Confirm that the email address and phone number are accurate and belong to you
  • Consent to be contacted by Houzeo and our partners via email, SMS, or phone call - Understand that you may opt out at any time by clicking "Unsubscribe" in emails or replying "STOP" to text messages
  • Acknowledge that Houzeo does not spam
  • communications are relevant, respectful, and limited in frequency

By providing your mobile phone number and checking the SMS consent box during registration or at any other time, you provide your express written consent to Houzeo Corp. ("Houzeo"), its affiliates, agents, contractors, and authorized third-party service providers to contact you at the phone number provided, including through:

  • Automated telephone dialing systems (ATDS)
  • Prerecorded or artificial voice messages
  • SMS text messages and MMS multimedia messages
  • Other automated communication methods

This consent applies to marketing, promotional, transactional, and service-related communications about:

  • Houzeo services and platform features
  • Property listings and real estate opportunities
  • Third-party real estate services and providers
  • Account notifications and service updates

Do Not Call Registry Override

You understand and agree that your express written consent allows us to contact you even if your phone number is listed on any state or federal Do Not Call registry or similar opt-out list.

Electronic Signature Acknowledgment

You acknowledge that this electronic consent has the same legal force and effect as a handwritten signature under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA).

Message Frequency and Costs

Message frequency varies based on your account activity and preferences. You are responsible for all charges from your wireless carrier. We do not charge fees for SMS services, but standard message and data rates may apply.

Property Sharing Feature Terms

When using our property sharing feature:

  • You authorize Houzeo to send SMS messages on your behalf to contacts you specify.
  • You represent that you have authority to share contact information you provide.
  • Messages will be sent from Houzeo phone numbers.
  • You are responsible for ensuring recipients consent to receive these messages.
  • You agree to indemnify Houzeo for any claims arising from your use of this feature.

Opt-Out Rights and Procedures

  • You may revoke your SMS consent at any time by:
  • Texting "STOP" to any message you receive from us.
  • Logging into your account and updating communication preferences.
  • Emailing us at legal@houzeo.com with "SMS Unsubscribe" in the subject line.
  • Calling our customer support.

The 'Property Sharing' and 'Shareability' features are provided for your personal use. You acknowledge that any SMS sent through these features is a private, peer-to-peer communication initiated solely by you. Houzeo does not direct, initiate, or control the recipient list or the timing of these messages. You agree to indemnify Houzeo for any TCPA or state-level 'Mini-TCPA' claims resulting from your use of these features.

We will honor opt-out requests within 10 business days. Even after opting out of marketing messages, you may still receive transactional messages necessary for account administration.

Third-Party Communications

By using our platform to connect with real estate professionals, you consent to receive SMS communications from these third parties. Your consent to receive messages from Houzeo does not constitute consent for third parties unless explicitly provided.

Compliance Documentation

We maintain detailed records of all SMS consents, including timestamps, IP addresses, and consent methods. You agree that these records may serve as proof of consent in any legal proceeding.

2.4. PLAN PRICING UPDATES

We reserve the right to modify the prices of our MLS listing plans at our discretion. Price adjustments may be influenced by various factors, including but not limited to market competition, inflation, our business investments, and operational costs.

Users will be notified of any changes in our pricing through appropriate channels, such as email notifications or updates on our website. The new prices will take effect immediately upon such notification unless otherwise specified.

By continuing to use our Services after any price change, you agree to the updated pricing. If you disagree with the revised prices, you may choose to discontinue your use of our Services.

2.5. PAYMENT GATEWAY

To pay for our Services, you'll use our third-party payment gateway. This gateway may ask for additional information to process your payment and may charge a small fee. You can pay with a debit card, credit card, or other options available. Please note that you'll also be subject to the payment gateway’s Terms and Conditions and Policies for all payment-related matters.

2.6. WEB PAGE CONTENT

The intellectual property rights encompassing all content and materials accessible through our Services, including text, images, audio, video, interfaces, information, data, and computer code, are either owned by Houzeo or licensed to us by third-party providers (collectively referred to as "Content"). Access to our Content is permitted solely through our Services.

You are prohibited from copying, modifying, selling, reproducing, distributing, republishing, displaying, posting, creating derivative or collective works from, or transmitting our Content, whether in whole or in part, without our prior written consent, which may be subsequently revoked at our sole discretion.

2.7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Houzeo, our affiliates, our directors, officers, employees, and agents (collectively, "Parties") from any losses, liabilities, claims, damages, demands, costs, and expenses (including legal fees and interest) arising from your breach or non-performance of any representation, warranty, covenant, or agreement under these Terms of Use.

Additionally, you agree to hold us harmless against any third-party claims related to:

  • Your use of our Services;
  • Your violation of these Terms of Use;
  • Your violation of any rights of another;
  • Your alleged improper conduct under these Terms of Use;
  • Your conduct in connection with our Services.

You agree to fully cooperate in indemnifying us at your expense and not to settle any claims without our consent.

Under no circumstances shall we be liable for any special, incidental, indirect, consequential, or punitive damages, including loss of use, data, or profits, arising from your use of our Services, whether or not such damages were foreseeable, we were advised of the possibility of such damages, or based on any theory of liability.

Furthermore, you agree to defend, indemnify, and hold harmless Houzeo and its affiliates from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of SMS communication features,
  • Any violations of the Telephone Consumer Protection Act (TCPA) or similar laws arising from your actions,
  • Your sharing of contact information without proper consent,
  • Claims by recipients of messages sent through our property sharing feature, and
  • Your failure to obtain required consents from contacts you add to our platform

2.8. LIMITATION OF LIABILITY

Houzeo provides an online platform for listing real estate properties. By using our services, you acknowledge and agree to the following limitations and disclaimers:

  • Connectivity and Technical Issues: We are not responsible for any consequences arising from connectivity errors related to internet issues such as slow connectivity, no connectivity, or server failure.
  • Data Entry and Deletion: We are not liable for any incorrect information or data entered by you, or any deletion of data.
  • Email Communication: We are not responsible for delays or issues in email communication.
  • Service Deficiencies: We are not liable for any deficiencies or defects in the Services managed by us.
  • Service Functionality: We are not responsible for failures in the functioning of any other service we provide.
  • Errors and Omissions: We accept no liability for any errors or omissions, or any damage to you, your belongings, or any third party resulting from the use or misuse of our Services. The Service and any content or material displayed on the Service are provided without guarantees, conditions, or warranties regarding accuracy, suitability, completeness, or reliability. We will not be liable to you for the unavailability or failure of the website.
  • Compliance with Laws: You must comply with all applicable laws and policies, which are incorporated into these Terms of Use by reference.
  • Unforeseeable Loss or Damage: We expressly exclude any liability for any loss or damage not reasonably foreseeable by us, including loss of profits, and any loss or damage resulting from your breach of these Terms of Use.
  • Extent of Liability: To the fullest extent permitted by law, we shall not be liable for any loss or damage, regardless of the form of action or basis of any claim. Your sole and exclusive remedy for any dispute with us shall be discontinuance of your use of our Services.

2.9. TERMINATION

We reserve the right at our sole discretion, to unilaterally terminate your access to our Services, or any portion thereof, at any time, without notice or cause. This action may be taken in the following circumstances:

  • Violation of Terms: If you are found to be in breach of any of these Terms of Use or the Privacy Policy.
  • Provision of False Information: If you have provided any wrong, inaccurate, incomplete, or incorrect information.
  • Harmful Actions: If your actions may cause any harm, damage, or loss to other users or Houzeo, as determined at our sole discretion.

Such termination shall not limit our right to take any other action against you that we deem appropriate. These measures are intended to protect the integrity and security of our Services, ensuring a safe and respectful environment for all users. We appreciate your understanding and cooperation in adhering to these guidelines. You shall continue to be bound by these Terms of Use, and it is expressly agreed by you that you shall not have the right to terminate these Terms of Use until you continue to access and use our Services.

2.10. COMMUNICATION

By using our services, you consent to receive electronic communications via calls, emails, or SMS from us or our representatives at any time, as outlined in our Privacy Policy. Please refer to Section 2.3 of these Terms of Use as well as our Privacy Policy for more details.

Our services may provide web forms, links, or contact details, including phone numbers, for connecting with us, real estate agents, and third-party providers. These communications may be facilitated through a third-party service ("Communications Service").

For quality assurance, training, or customer service purposes, calls may be recorded or monitored. You will be notified before any call recording or monitoring begins. By using our Services, you consent to such recording and monitoring by us or the Communications Service.

Additionally, we use the Communications Service to monitor phone calls and text messages between you and real estate professionals, enabling access to specific contact details. During this process, both we and the Communications Service will promptly receive and retain data about your call or text message, including the date, time, phone number, and message content.

By using the Sites, you acknowledge and provide All-Party Consent for Houzeo to use session-replay technologies. These tools record your interactions with the platform to improve functionality. This constitutes a waiver of any 'wiretapping' claims under state invasion of privacy laws

If you notice any discrepancies with our website or content-related information, please report them to legal@houzeo.com. We will investigate and take necessary action, with resolution time depending on the investigation's duration.

You also agree that we may contact you regarding any services you've availed on our platform and indemnify us from any harassment claims. Your information will be governed by these Terms of Use and our Privacy Policy.

3. SERVICE-SPECIFIC TERMS AND CONDITIONS

You agree and acknowledge that you are a restricted user of Houzeo and you agree to be bound by the following Service-specific terms and conditions:

3.1 Intellilist Listing Management

Account Information.

  • Ensure that your name, email address, and provided information are valid and kept up-to-date to maintain accurate records and communication channels.
  • Use genuine credentials and avoid creating accounts with fictitious identities to promote transparency and authenticity within the platform.
  • It's crucial to maintain the confidentiality of your account to prevent unauthorized access and notify us immediately if you detect any suspicious activity. We reserve the right to close accounts that violate our terms or for any other valid reason.

Listing Requirements.

  • Listings shall include complete addresses to authenticate properties and enhance listing quality for potential buyers.
  • Listings shall have a street number included. You may utilize syndication services to exercise your right to opt out of the online display of addresses.
  • Incomplete or inaccurate listings may be removed without prior warning to maintain the quality and integrity of our platform.

Usage Limitations.

  • Services are limited to residential real estate only.
  • Use of Services for promoting commercial real estate, including commercially zoned properties, timeshares, vacation rentals, fractional ownership properties, etc., is prohibited.

Claiming Listings.

  • If you mistakenly claim a listing, promptly release it to avoid confusion and ensure accurate ownership.
  • Contact the data feed source directly to cancel any incorrectly claimed listings to maintain data accuracy.
  • If you notice that someone has erroneously claimed a listing, please inform our support team at support@houzeo.com for resolution.

Content Restrictions.

  • Self-promotional content in your listings, and professional profiles, such as agent names, company details, logos, and contact information, especially in listing photos or video walkthroughs is prohibited.
  • Refrain from including personal contact details like phone numbers, email addresses, website URLs, promotional slogans, or offers in your profile photos or names to maintain a professional and compliant environment.

Public Display and Promotion.

  • By submitting listings on our website, you agree to make them publicly visible and accessible to potential buyers.
  • We may use your listings for promotional purposes on our website to enhance visibility and reach within the real estate market.

FSBO Information.

  • Only property owners can advertise as FSBO and must use a valid consumer account. Verification may be required, and listings may be removed if ownership cannot be confirmed. FSBO is not allowed if represented by an agent.
  • Houzeo is not responsible for the accuracy of the FSBO information provided.

Service Availability and Regional Limitations.

  • The availability of specific Services may vary depending on the region or jurisdiction.
  • Houzeo does not guarantee that all Services will be accessible or operational in every region.
  • Houzeo shall not be held liable for any direct or indirect consequences arising from the unavailability of Services or any regional restrictions.
  • Clients should review the availability of Services before engaging with Houzeo.

3.2. Showings

Both buyer and seller must adhere to certain guidelines during property showings to ensure privacy, security, accuracy of information, effective communication, compliance with health and safety standards, vigilance against scams, and mutual respect. Non-compliance may result in penalties, including suspension or termination of account privileges. To prevent fair housing violations, users must strictly comply with all applicable federal, state, and local fair housing laws. Discriminatory practices based on race, color, religion, sex, disability, familial status, national origin, or any other protected characteristic are strictly prohibited. Any reported violations may result in immediate suspension or termination of account privileges, and users may be subject to legal action. Houzeo will not be liable for any actions resulting from users' fair housing violations. Additionally, Houzeo disclaims any liability for actions resulting from issues related to the showings product, including but not limited to risks associated with property visits, data inaccuracies, damage caused to the property during showings, or other unforeseen circumstances.

Seller Acknowledgment:

  • Privacy & Security: Exercise caution to prevent privacy breaches during open houses and showings. Secure sensitive items and valuables before allowing unfamiliar individuals into your property.
  • Communication: Engage with serious, financially qualified buyers and provide relevant information while they assess the property.
  • Health Guidelines: Adhere to health and safety guidelines during pandemics or health risks.
  • Accurate Information: Ensure all property information is accurate to avoid misrepresentation.
  • Scam Awareness: Stay vigilant to avoid scams such as identity theft or financial fraud during showings.
  • Report Suspicious Activity: Notify Houzeo of any suspicious behavior immediately.

Buyer Acknowledgment:

  • Discretion: Limit sharing of sensitive information during showings.
  • Genuine Interest: Show genuine interest and respect the seller's time to avoid inconveniences.
  • Health Guidelines: Follow health and safety guidelines during pandemics or health risks.
  • Due Diligence: Conduct thorough checks as the actual property condition may differ from online listings.
  • Scam Awareness: Be cautious to avoid scams, including identity theft or financial fraud during showings.
  • Scheduling: Acknowledge the challenges of scheduling showings and maintain flexibility and communication to minimize inconveniences.
  • Report Suspicious Activity: Notify Houzeo of any suspicious behavior immediately.

3.3. Digital Transaction Management

Houzeo’s Digital Transaction Management System aims to remove the friction between users, tasks, documents, and data. It provides real-time status updates and clear guidance on the next steps to the user i.e., the seller or the buyer. To deliver this service, Houzeo sends notifications to keep users informed.

Houzeo disclaims any liability for losses or damages arising from the use of the Digital Transaction Management System, including missed notifications, data inaccuracies, or technical failures. Users are responsible for managing and mitigating these risks by actively monitoring their transactions and maintaining accurate information.

As per Section 2.10 of our Terms of Use, you consent to receive notifications from us including status updates and clear guidance on the next steps of your transaction. Please refer to our Privacy Policy for more details.

Additionally, we use the Communications Service to monitor phone calls and text messages between you and real estate professionals, enabling access to specific contact details. During this process, both we and the Communications Service will promptly receive and retain data about your call or text message, including the date, time, phone number, and message content.

3.4. Lead Management

We do not guarantee or warrant the products or services offered by any third-party providers, including but not limited to real estate brokers/agents, Lenders, and escrow/settlement companies. We prioritize the security and privacy of customer information, ensuring that such data is never sold to third parties.

Your use of our Services serves as your understanding, agreement, and acknowledgment that we are not liable in any way for the products offered by these third-party websites or businesses. We allow third-party vendors (such as real estate agents) to create accounts on our website so they may advertise their pricing.

We strive to be transparent and fair in conducting our business. When users request referrals to third parties, we may collect a referral fee.

3.5. Houzeo Mobile App

To utilize our mobile application, you will need a compatible mobile device. While we strive to ensure broad compatibility across different devices, we cannot guarantee that our App will function seamlessly on every device. Please note that using the App may incur additional charges from your wireless provider for data usage.

We reserve the right to update our App and may automatically install these updates on your device. By using the App, you consent to these updates.

Any open-source software integrated into the App is subject to its respective open-source license.

If you are using our App on an iOS device, it's important to understand that our agreement is with you, not Apple. Apple bears no responsibility for our App or its performance. For any refunds related to the App, please contact Apple directly.

You agree to comply with the terms and conditions of any third-party services used in conjunction with our App. We may collect and use your data as outlined in our Privacy Policy. Apple and its affiliates have the authority to enforce certain provisions of this agreement. Additionally, you confirm that you are not located in a country subject to U.S. government embargoes or restricted party lists.

3.6. Houzeo Offers

Using our real estate services involves inherent risks. Sensitive personal information may be susceptible to unauthorized access or data breaches despite our security measures. The process of buying or selling a home can be emotionally taxing for both buyers and sellers, as it often involves negotiations, potential setbacks, and market uncertainties.

It's crucial to approach the offer process mindfully. Buyers should be aware that their preferred property might change, leading to offer modifications or cancellations. Sellers may receive multiple offers and must carefully evaluate various factors before accepting. Market conditions can fluctuate, impacting property values and the overall deal.

To prevent misunderstandings, buyers and sellers should differentiate between offers and appraisals. Offers represent a potential buyer's proposed terms, while appraisals are independent property valuations. Houzeo is not responsible for any confusion between the two.

Additionally, Houzeo reserves the right to restrict offer availability in certain areas due to market conditions, regulations, or operational limitations. Users should verify if their property is eligible for offers through our platform.

3.7. Inspections and Appraisers

Houzeo provides tools to facilitate the scheduling and management of property inspections and appraisals. Houzeo facilitates property transactions but does not conduct inspections/appraisals or guarantee their results. Houzeo is not responsible for any errors or accuracy in these services. When utilizing Houzeo’s services for property transactions, you agree to the following:

  • Property Damage. Any damage caused to the property during an inspection/appraisal is the responsibility of the parties involved in the transaction. Houzeo is not liable for such damages.
  • Inspection/Appraisal Reports. The reports provided are for informational purposes only. Houzeo does not verify the accuracy or completeness of these reports and is not responsible for any errors or omissions.
  • Repairs and Maintenance. The responsibility to conduct repairs as indicated in the inspection report lies solely with the property owner or seller. Houzeo does not mandate or ensure any repairs are completed.
  • Fluctuation in Market Value. Houzeo is not responsible for any variations in property value due to market dynamics that occur after the appraisal.

By using Houzeo’s services, you acknowledge and accept these terms, understanding that Houzeo’s role is limited to providing a platform for real estate transactions and facilitating inspection scheduling, but not guaranteeing the outcomes or handling issues related to property inspections or appraisals.

Third-party professionals (photographers, appraisers) are Independent Contractors and not agents, partners, or employees of Houzeo. Houzeo does not supervise or control their work. You acknowledge that Houzeo’s facilitation of scheduling does not constitute a 'referral' or 'endorsement,' and you waive any claim of Vicarious Liability or Negligent Referral against Houzeo for the acts or omissions of these third parties.

3.8. Closing Process

Houzeo provides tools and services to facilitate real estate transactions, including the closing process. However, users should be aware that various challenges can arise during this phase. By using Houzeo’s services, you agree to the following terms:

  • Scope of Liability: Houzeo shall not be liable for any issues or complications arising during the closing process. This includes, but is not limited to, matters related to property appraisals, inspections, documentation, contractual contingencies, representations, mortgage approvals, property taxes, scheduling, and attendance requirements.
  • User Responsibility: It is the responsibility of the involved parties to ensure that all aspects of the closing process are handled appropriately and in compliance with relevant laws and regulations. This includes addressing any issues promptly and ensuring all conditions are met.
  • Accuracy and Completeness: Users must ensure the accuracy and completeness of all documents and information provided during the transaction. Houzeo does not stand responsible for any issues relating to the accuracy of inspection reports or other documentation and disclaims liability for any errors or omissions.
  • Communication and Scheduling: Houzeo provides tools to facilitate communication and scheduling but is not liable for any miscommunication or scheduling issues and is solely the responsibility of the parties involved in the transaction.
  • Compliance with Local Laws: Users must comply with all applicable local, state, and federal laws, including attendance requirements for closings. Houzeo disclaims liability for any non-compliance issues.

By using Houzeo’s services, you acknowledge and agree that Houzeo is not liable for any issues that may arise during the closing process. It is the responsibility of the users to manage and address these matters effectively.

3.9. Home Worth Calculator

3.10. Automated Listing Classification

Certain features on the Platform, including filters, utilize automated tagging based on public listing data and keyword recognition. These tags are generated without human review and do not constitute investment advice, financial guarantees, or representations regarding the quality, value, or potential return of any property.

By using this feature, you acknowledge that tags are auto-generated from public listing data, may be incomplete or inaccurate, and are not investment advice. Houzeo makes no warranties as to investment suitability and disclaims all liability for any reliance on such tags or filters. Users are solely responsible for conducting independent due diligence before making any financial or real estate decisions.

3.11. Automated Listing Classification

The Platform’s Shareability feature enables you to send property listing links via SMS to contacts you designate. Messages are delivered from Houzeo phone numbers and may include only the information you choose to share.

By using this feature, you acknowledge and agree that:

  • You are solely responsible for obtaining any required consent from your contacts under applicable laws (including TCPA).
  • Houzeo does not verify the accuracy or appropriateness of the contact information you provide or the suitability of listings for any recipient.
  • Messages may be subject to carrier delays, errors, or failures beyond Houzeo’s control.
  • You will comply with all legal requirements governing SMS communications and indemnify Houzeo for any claims arising from your use or misuse of the Shareability feature.

Houzeo makes no warranties, express or implied, regarding delivery, timeliness, accuracy, or legal compliance of messages sent through the Shareability feature. Users remain responsible for independent due diligence before sharing any property information.

4. MORTGAGE INFORMATION SERVICES AND OTHER REAL ESTATE-RELATED SERVICES

Mortgages and Other Services. Houzeo allows consumers to provide information to banks, Lenders, originators, loan brokers, and their employees (collectively, the "Lenders") to request quotes on terms for home loans. Lenders may respond to these requests with non-binding customized quotes and their contact information. These quotes are not intended to be Good Faith Estimates as defined in the Real Estate Settlement Procedures Act. If you choose to contact a Lender through Houzeo by completing a request form, you authorize Houzeo to provide your name, contact information, and other identifying information to the chosen Lender. By submitting your contact request, you may receive telemarketing calls from or on behalf of the Lender at the provided telephone number(s). Your identity will no longer be anonymous. Any loan or business conducted is between you and the Lender.

Pre-approval. Houzeo also allows consumers to request pre-approval for home loans. When consumers submit the required information, participating Lenders may respond based on their criteria. A pre-approval does not signify a commitment for a loan, or a guarantee of specific rates or terms.

Mortgage Calculator. The Mortgage Calculator service provided by Houzeo is intended solely for informational purposes and should not be considered as a loan offer or approval. The estimates generated by the Calculator are based on various assumptions and data inputs that may change and may not reflect current market conditions or the specific details of any individual loan application. Houzeo makes no representations or warranties regarding the accuracy, reliability, or completeness of the mortgage estimates provided by the Calculator. Houzeo shall not be liable for any loss or damage arising from reliance on the Mortgage Calculator estimates.

Participating Lenders. Lenders are solely responsible for their services. Houzeo shall not be liable for any damages or costs arising from consumers' use of the Houzeo website or Lender Services. Houzeo is not responsible for any errors or delays caused by consumers or Lenders in the loan process. Houzeo reserves the right to discontinue, suspend, or terminate any Lender or user’s participation at any time at its sole discretion.

Lender Information. Houzeo may use Lenders’ information to decide on their participation and can disclose it to third parties for verification purposes. Lenders warrant that all provided information is accurate, complete, and compliant with applicable laws and that they are in good standing with their licensing jurisdiction.

Borrower Information. Houzeo provides borrower information and does not hold itself liable for inaccuracies, incompleteness, or privacy breaches. Houzeo protects borrower data according to privacy laws but is not responsible for third-party misuse. Lenders must independently verify borrowers’ information and are responsible for due diligence.

Payment Terms. The Lender is responsible for paying taxes, government charges, and any expenses Houzeo incurs for collecting unpaid amounts, including attorney fees. Lenders must promptly update credit card and payment information to keep accounts current. This includes updating credit card numbers, billing addresses, and expiration dates. Houzeo may use third-party services to update this information but Lenders must ensure the accuracy of their details. Houzeo may charge any credit card provided by the Lender, who must be an authorized user of the card. If a payment fails, Houzeo may retry the charge. Houzeo may reject prepaid or reloadable cards. Late payments may result in additional charges. Please refer to the specific loan terms and conditions for detailed payment information. Lenders waive claims against charges, including those for suspected click fraud. Charges are based solely on Houzeo’s records unless stated otherwise in writing. These Terms do not obligate Houzeo to extend credit. Credit card information shared with Houzeo may be disclosed to service providers or in response to legal processes. Houzeo is not liable for third-party use or disclosure of such information.

The Role of Houzeo; Disclaimer. Houzeo is not a Lender, loan originator, loan processor, or underwriter. Houzeo does not aid or assist borrowers in obtaining loans, solicit borrowers or Lenders for loans, offer or negotiate loan terms, or make credit decisions. Houzeo does not take credit applications or issue pre-approval letters. Any request for quotes or pre-approval is not a credit application. Houzeo does not endorse or recommend any Lender’s products. Nothing in the Services is an offer to lend or a loan commitment, and Houzeo does not guarantee any specific loan terms or conditions. Houzeo is not an agent for either consumers or Lenders and only provides an Administrative Service. Pre-approval decisions are made by participating Lenders, not Houzeo.

6. License & Referral Fee Disclaimer

Houzeo is a technology platform connecting consumers with licensed real estate brokers. Houzeo is a licensed real estate brokerage in Texas and Alabama. Houzeo does not provide brokerage services or act as a real estate broker. Houzeo’s brokerage entities may receive referral fees, but only as permitted by law and only when referring clients to licensed real estate brokers. All brokerage activities are performed solely by licensed brokers in their respective states. Users must engage directly with licensed brokers for real estate services.

7. DISCLAIMER OF WARRANTIES

HOUZEO OFFERS SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. HOUZEO DOES NOT CONTROL OR VERIFY THE ACCURACY OF THIRD-PARTY CONTENT. TO THE MAXIMUM EXTENT ALLOWED BY LAW, HOUZEO DOES NOT PROVIDE ANY EXPRESS OR IMPLIED WARRANTIES, CONDITIONS, OR REPRESENTATIONS REGARDING THE SERVICES.   • Impersonates any person or entity, or falsely states or misrepresents your affiliation with a person or entity;

10. FORCE MAJEURE

Neither party shall be held responsible for any delay or failure to perform any part of these Terms of Use to the extent such delay or failure results from causes beyond its reasonable control and without the fault or negligence of the party claiming excusable delay or failure to perform. These causes include acts of God, acts of war or terrorism, extraordinary acts by the United States of America or any of its states, territories, or political subdivisions, fires, storms, floods, epidemics, riots, work stoppages, strikes (excluding work stoppages and/or strikes by any parties to this Agreement), embargoes, government restrictions, exchange or market rulings, extreme market volumes or volatility, suspension of trading (declared or undeclared), adverse weather, or events of nature. Upon the occurrence of a force majeure event, Houzeo cannot guarantee uninterrupted or error-free service or access to our Services. There may be periods where access is delayed, limited, or unavailable.

11. DISPUTE RESOLUTION

11.1. Mandatory Informal Dispute Resolution (The "Condition Precedent").

Houzeo is committed to resolving concerns without formal legal action. You agree that before filing any arbitration or claim, you must give Houzeo an opportunity to resolve the dispute.

  • Notice of Dispute: You must send a personalized, written "Notice of Dispute" to legal@houzeo.com. This notice must include: (i) your full name and account email; (ii) a detailed description of the nature and basis of the dispute; (iii) evidence of the alleged damages and (iv) the specific relief sought.
  • The 60-Day Negotiation Period: You agree to participate in a good-faith negotiation for sixty (60) days from the date the notice is received. During this period, you shall remain responsive and respond to any queries raised by us within two (2) business days.
  • Mandatory Dismissal: If you file for arbitration without completing this informal process, you agree that the arbitration provider must administratively dismiss the claim, and you shall be liable for all costs incurred by Houzeo in seeking such dismissal.

11.2. Binding Arbitration & Jury Trial Waiver.

If the dispute is not resolved within the 60-day negotiation period, it shall be settled exclusively by binding individual arbitration administered by the New Era ADR in accordance with its Rules and Procedures in effect at the time the claim is filed. YOU AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO HAVE ANY DISPUTE RESOLVED IN COURT.

If New Era ADR declines, is unable, or refuses to administer the arbitration, the arbitration shall be administered by American Arbitration Association in accordance with its applicable rules. If the foregoing providers are unavailable, the parties shall mutually agree on an alternative nationally recognized arbitration provider.

The arbitration shall be conducted in the county of your residence or at another mutually agreed location. The arbitrator shall apply the substantive law of the State of New Jersey, without regard to its conflict of laws principles. The arbitration shall be conducted in English. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

If the parties are unable to agree within thirty (30) days, Houzeo may apply to a court of competent jurisdiction to appoint an arbitrator or arbitration provider in accordance with applicable law.

11.3. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Privacy Policy, the Refund Policy, or any related matter, including their breach, termination, enforcement, interpretation, validity, or the determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively by binding arbitration administered by New Era ADR in accordance with its rules then in effect. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

The arbitration shall be conducted on an individual basis, and not as a class, consolidated, or representative action. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

11.4 The "Mass Filing" Protection Shield (Bellwether Batching).

To increase the efficiency of administration and resolution of arbitrations, you and Houzeo agree that if there are fifty (50) or more individual arbitration demands of a substantially similar nature brought against either party by or with the assistance of the same law firm, group of law firms, or organizations within a one hundred and eighty (180) day period (“Mass Filing”), the following procedures shall apply:

  • Selection of Bellwether Arbitrations: The parties shall select ten (10) individual arbitration demands (five (5) per side) for arbitration to proceed (“Bellwether Arbitrations”).
  • Abeyance Requirement: Only those ten (10) arbitration demands shall be filed with the arbitration provider, and the parties shall hold in abeyance, and not file, the non-Bellwether Arbitrations. No filing or administrative fee shall be due for the stayed cases while the Bellwether Arbitrations are pending.
  • Tolling of Limitations: The statutes of limitation, including the requirement to file within one (1) year in Section 11.6 below, shall remain tolled (paused) while the non-Bellwether arbitration demands are held in abeyance.
  • Administrative Stay: While the Bellwether Arbitrations are adjudicated, no other demand for arbitration that is part of the Mass Filing may be processed, administrated, or adjudicated, and no filing or other administrative costs for such a demand for arbitration shall be due from either party to the arbitration provider.
  • Premature Filings: If, contrary to this provision, a party prematurely files non-Bellwether Arbitrations with the arbitration provider, the parties agree that the arbitration provider shall hold those demands in abeyance and no fees shall be assessed until the Bellwether process is complete.
  • Global Mediation: Following the resolution of the ten (10) Bellwether Arbitrations, the parties agree to engage in a global mediation session to attempt to resolve all remaining claims in the Mass Filing based on the outcomes of the Bellwether cases.

11.5. Statute of Limitations.

YOU AGREE THAT ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR after the event giving rise to the claim occurred. If the claim is not filed within one year, it is forever barred, regardless of any state law or statute of limitations to the contrary.

11.6. Costs and Attorneys’ Fees.

  • Arbitration Costs: Payment of all filing, administration, and Neutral fees shall be governed by the New Era ADR’s applicable fee schedule. Houzeo shall pay those portions of such fees for which it is responsible under the applicable New Era ADR Rules or as otherwise required by applicable law. In case of Ex Parte Proceedings, the entire costs shall be borne by the non-appearing party.
  • Frivolous Claims: If the Neutral finds that a claim was frivolous, brought for an improper purpose, or brought in bad faith (as measured by the standards of Federal Rule of Civil Procedure 11(b)), you agree to reimburse Houzeo for all fees paid to the New Era ADR on your behalf.
  • Attorneys' Fees: To the maximum extent permitted by law, the Neutral shall award the prevailing party its reasonable attorneys’ fees and costs. If Houzeo is the prevailing party and the claim is deemed frivolous, you agree to pay Houzeo’s legal fees in full.

11.7. Arbitration Procedure.

  • The arbitration shall be conducted by a sole Neutral unless the parties mutually agree otherwise. The Neutral shall be selected in accordance with the rules of the New Era ADR.
  • The Neutral shall be selected in accordance with the applicable New Era ADR Rules, including the Rank/Strike process unless the parties agree to another selection method permitted under those Rules.
  • The parties shall mutually agree whether the dispute proceeds as Standard Arbitration or Expedited Arbitration; absent such agreement, Expedited Arbitration shall apply. All proceedings shall be conducted virtually on the New Era ADR platform.
  • The legal seat of arbitration shall be Charlotte, North Carolina, and North Carolina law shall govern this Agreement and the arbitration, without regard to conflict of law principles.
  • The language of the arbitration shall be English.

12. JURISDICTION AND WAIVER

These Terms of Use are governed and construed in accordance with the laws of the State of North Carolina, without regard to its conflicts of laws principles. The parties consent to the exclusive jurisdiction and venue in the state and federal courts situated within and governed by North Carolina.

13. STRICT CLASS ACTION & REPRESENTATIVE ACTION WAIVER

YOU EXPRESSLY AGREE THAT YOU SHALL NOT ASSERT ANY CLAIMS ARISING UNDER THESE TERMS OF USE THROUGH CLASS ACTION OR ANY OTHER REPRESENTATIVE ACTION. YOU SHALL REFRAIN FROM SEEKING TO COORDINATE OR CONSOLIDATE ANY DISPUTE ARISING FROM THESE TERMS OF USE WITH ANY OTHER PROCEEDING. THIS WAIVER OF CLASS OR REPRESENTATIVE ACTIONS AND THE PROHIBITION AGAINST THE COORDINATION OR CONSOLIDATION OF ARBITRATIONS SHALL SURVIVE THE TERMINATION OR EXPIRATION OF THESE TERMS OF USE AND SHALL REMAIN EFFECTIVE AND ENFORCEABLE, REGARDLESS OF ANY SUBSEQUENT MODIFICATION OR TERMINATION OF THE OTHER PROVISIONS OF THESE TERMS OF USE.

14. SCRAPING, AUTOMATED ACCESS, AND DATA EXTRACTION:

Accessing, collecting, harvesting, copying, or extracting any data or content from the Services by any automated or manual means, including but not limited to scraping, crawling, data mining, robots, spiders, scripts, bots, or similar data-gathering or extraction methods, is strictly prohibited. You may not use any technology or process to access or search the Services for the purpose of building or contributing to a database, compiling listings, training machine learning or artificial intelligence models, or otherwise creating, enhancing, or supporting any product or service, whether competitive or not, without our prior express written consent. You further agree not to circumvent, bypass, or interfere with any technical measures implemented to prevent or restrict such activities, including rate limiting, access controls, or security features.

15. MISCELLANEOUS PROVISIONS

  • Entire Agreement: These Terms of Use, along with the Privacy Policy, constitute the entire agreement between the users/third parties and Houzeo regarding the subject matter herein and supersede all prior communications, representations, and agreements, whether oral, written, or otherwise, about such subject matter.
  • Waiver: The failure to enforce any provision of these Terms of Use at any time shall not affect our right to enforce the same provision in the future. Our failure to enforce any provision of these Terms of Use or to exercise any right hereunder shall not constitute a waiver of such provision or right or a waiver of our right to enforce any subsequent breach.
  • Severability: If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law. The invalid provision shall be reformed to the extent necessary to uphold the original intent of these Terms of Use.
